The biggest Black Economic Empowerment (BEE) stock transaction in South Africa included the creation of the Inzalo Foundation.  10% of the Sasol shares originally owned by chosen parties were transferred to South Africans in September 2008. In addition, the agreement stipulated that 1.5% of Sasol’s shares would be given to the Sasol Inzalo Foundation.  A different board of directors governs the Foundation. It is a nonprofit organization that works for the general welfare. The nonprofit group aimed to advance STEM (science, technology, engineering, and mathematics) education along the whole learning continuum.

On June 1, 2018, Sasol established the Sasol Khanyisa agreement, its new Broad-Based Black Economic Empowerment (B-BBEE) shareholding structure. The Sasol Khanyisa Employee Share Ownership Plan Trust and the Sasol Khanyisa Public made up the Sasol Khanyisa transaction.

Sasol Khanyisa expects to pay off the loan within the allotted 10-year period. However, that depends on SSA’s financial health and capacity to provide dividends. As a result, SSA’s performance determines Sasol Khanyisa’s ability to pay its loan to Sasol on time.  Shareholders will get SOLBE1 shares in exchange for the value of their SSA shares after 10 years (or earlier if the debt is entirely settled).

Furthermore, distributions to shareholders will be reduced if any debt is not fully settled before the ten-year period’s conclusion using the SSA shares’ net value.

A positive macroeconomic environment, with crude oil prices increasing by 75.7% and averaging 76,63 USD per barrel compared to 43,62 USD per barrel for the prior quarter, helped the SSA Group’s earnings.  The worldwide easing of COVID-19 shutdown limits is another element that has improved financial and operational success due to higher chemical costs and greater demand.  Due to increased market demand, higher oil prices, and less market supply because of persistent issues with the global supply chain, Chemicals Africa’s average sales basket price was 37% more than it was during the previous quarter.  The SSA Group’s value in June was 43.7 billion ZAR, up from 23.2 billion ZAR in June 2025. Therefore, as of December 31, there had been no net wealth growth for Sasol Khanyisa investors.

This was due to the beneficial interest of 9.2% and the remainder of R4 billion and R7,6 billion from vendor finance. It was believed that the deal would gain value over time. A new SSA value was thus predicted to be determined by June 2025.  On November 10, 2025, a 523,8 million ZAR SSA dividend payment was received. Of this sum, R510,7 million was used to repay vendor financing owed by Sasol Limited, and R13,1 million was given as a trickle dividend to Sasol Khanyisa Public shareholders.

2.5% of the 17,34 ZAR dividend received, or 0,43 ZAR per ordinary share, was announced as an interim gross cash dividend for the six months ending on December 31.  The Board judged that the cash on hand after the dividend was paid and for 2025 could support the company’s activities. Furthermore, when Sasol issued dividends in 2025, there were 26,503,642 shares of common stock outstanding.  The net dividend payout for shareholders who were not exempt from dividend withholding tax was 0.35 ZAR per share. Conversely, the dividend payment to exempt shareholders was 0.43 ZAR per share.

The final resolution of the vendor financing included the interim gross cash dividend of R16,91 per ordinary share (representing 97.5% of the 17.34 ZAR dividend received).
